Gene Logic Inc. was incorporated in Delaware on September 22, 1994 and commenced operations shortly thereafter. The Company made an initial public offering of its stock on November 21, 1997, in which 3,000,000 shares were issued at $8.00 per share. The Company made a second, or follow-on, public offering of its stock on February 2, 2000, in which it raised approximately $248 million.
Since inception, Gene Logic has developed genomics technologies, bioinformatics systems and information products and services that increase the productivity and efficiency of pharmaceutical and biotechnology drug discovery and development. From 1997 through 2001, the Company developed custom gene expression databases targeted to specific therapeutic areas of customer interest, including heart failure, kidney disease, osteoporosis, psychiatric disorders, asthma, allergies, diabetes, and other major disease indications.
Gene Logic acquired Oncormed, Inc. in September 1998. Oncormed brought new expertise in tissue handling and use of microarray technologies.
In March 1999, Gene Logic initiated a company-wide effort to use its in-house expertise in tissue sample handling, collection and preparation, wet-lab analysis, study design, genomic data generation to begin development of the GeneExpress® System. The GeneExpress® System is a comprehensive research tool comprised of genomic information on human biology and pathology and related clinical data. The Company launched the GeneExpress® System and announced the first commercial customer in late 1999.
From 2000 through the present, Gene Logic has established itself as a leader in the collection and organization of complex and highly valued genomic and toxicogenomic information, all realized through successful commercialization of its GeneExpress® solutions. The Company has continuously launched new and innovative information solutions derived from the GeneExpress® System.
To complement and leverage these capabilities, Gene Logic has added an important new capability the Drug Repositioning and Selection Program. The 2004 acquisition of the drug repurposing platform of Millennium Pharmaceuticals gives Gene Logic leading technologies in rescuing and repositioning failed or struggling compounds. The goal of the program is to help clients return these compounds to successful clinical development.
